Abstract

The article defines that the decisions of meetings in accordance with the legislation cannot be considered as a type of transaction, they are an independent type of lawful actions aimed at a legal result (legal acts). At the same time, it is possible to apply rules on transactions by analogy to them. Legislation on the decisions of assemblies developed gradually. First, a special regulation of their individual types appeared, in 2013 the Civil Code of the Russian Federation included rules on decisions of meetings. Nevertheless, when they conflict, special rules must be applied, and this is especially important when challenging the decisions of meetings. The norms of the Civil Code of the Russian Federation in this case are applied only if this does not contradict special regulation.
