On the impact of foreign socio-entrepreneurial experience on the transformation of the legal model of corporate governance in the digital age

Abstract

Attention is drawn to the demand in the foreign theory and practice of socio-entrepreneurial experience of legalization mission-oriented corporations, effectively providing in the digital age, the interests of not only its shareholders, but also a wide range of stakeholders, contributing to the increase of not only shareholder value, but also competitive advantages in solving social, environmental, scientific and other socially significant problems. The thesis that the use of the term "corporate governance 2.0" in the semantic connection with the concepts of "corporate social responsibility 2.0", "Internet 2.0", "digital technologies", "mission-oriented Corporation", "social entrepreneurship" should be considered as evidence of rethinking scientific approaches in the era of digital transformation. In order to optimize the transition in Russia to the models of corporate governance version 2.0 and 3.0, based on foreign experience, the proposed legal instrument is legalization, the mission of the oriented Corporation on the model of the North American social company "Benefit corporation".
