Abstract

The article discusses the features of the compensation as a way to terminate the obligation. The author proceeds from the fact that the compensation is a substitute for performance in order to terminate the obligation. Particular attention is paid to the question of which construction is more applicable to the compensation - a real or consensual transaction. The author formulates a conclusion about the expediency of using a real design to balance the legitimate interests of the parties. The article also concludes that an improperly executed indemnity cannot terminate the original obligation. In this regard, it is recommended to make appropriate changes to the legislation.
