Abstract

Natural gas is exported in accordance with the terms and conditions of foreign trade contracts between the seller and the buyer. Research into the execution procedure, terms and conditions of such contracts has both theoretical and practical value. The importance of a foreign trade contract for relations between the parties cannot be overemphasized as its scope determines and legally binds the parties for the achievement of their respective goals. When entering into foreign trade contracts, the parties should consider the impact of natural gas extraction, processing, transportation, storage processes on terms of foreign trade transactions with natural gas. These terms are especially important for long-term natural gas export contracts which are considered to be the traditional form of natural gas trading. However, more recently, forms of foreign trade contracts for natural gas export used to interact with foreign buyers have become more diversified. Natural gas trading under short-term contracts using electronic trading platforms is becoming increasingly important. In this article, the author examines the key peculiarities of such contracts, defines basic advantages and disadvantages of using various contract forms for natural gas export.

Краткосрочные экспортные контракты на поставку природного газа
1 Исследование договорного регулирования, особенностей складывающихся между сторонами договорных отношений является одной из наиболее актуальных задач энергетического права. В.В. Романова обоснованно предлагает использовать для проведения правового анализа договорного регулирования отношений в сфере энергетики условную классификацию в зависимости от предмета соглашения, который может заключаться в поставке, переработке, транспортировке того или иного вида энергетического ресурса, хранении энергетических ресурсов, строительстве энергетического объекта, поставке энергетического оборудования, создании инновационного продукта для использования в сфере энергетики и др. [1]. В соответствии с обозначенной классификацией В.В. Романова выделяет среди договоров, регулирующих отношения по поставке энергетических ресурсов, подгруппы договоров по видам энергетических ресурсов, и в том числе договоры поставки газа [2]. Исследуя состояние энергетического правопорядка в газовой отрасли, В.В. Романова отмечает, что особенность современного состояния правового обеспечения экспорта газа характеризуется спецификой правового режима газа как объекта внешнеэкономических сделок, спецификой субъектного состава и правового положения организаций — экспортеров газа, спецификой государственного и международно-правового регулирования [3].
2 И.П. Марчуков в зависимости от стадии производственно-сбытовой деятельности к основным конструкциям гражданскоправового характера, применимых в сфере оборота нефти и газа, относит: 1) договорные конструкции апстрим, необходимые для получения доступа к поиску и освоению нефтегазовых месторождений, а также непосредственно направленные на разведку и освоение нефтегазовых месторождений — нефтесервисные договоры; 2) договоры мидстрим, связанные с транспортировкой; договоры даунстрим, регулирующие переработку и сбыт [4].
3 Классификацию контрактов на экспорт природного газа в зависимости от объекта договора поставки предлагают использовать Л.И. Шевченко, И.В. Гудков [5].
4 Как справедливо отмечает В.В. Романова, особенности правового регулирования внешнеэкономических сделок в сфере энергетики обусловлены прежде всего спецификой основного объекта внешнеэкономических сделок — энергетического ресурса [6]. В сделках по поставкам природного газа на экспорт трубопроводным транспортом таким энергетическим ресурсом выступает природный газ, поставляемый в газообразном состоянии. В целях осуществления экспорта природного газа в газообразном состоянии необходимо обеспечивать непрерывность и ритмичность процесса добычи, переработки, транспортировки, хранения природного газа.
5 Основной формой реализации природного газа на экспорт длительное время выступали долгосрочные контракты на поставку природного газа на экспорт. В последнее время все большее значение приобретает торговля природным газом с использованием электронных торговых платформ на основании краткосрочных контрактов, которые дополняют существующий традиционный подход к реализации природного газа на экспорт с использованием долгосрочных контрактов.
